Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and Skyware LLC, a Utah limited liability company, doing business as RIGSITE ("RIGSITE," "we," "us," or "our"), governing your access to and use of the RIGSITE website, customer portal, and subscription services (collectively, the "Services"), available at rigsite.skyware.dev.

By creating an account, subscribing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

RIGSITE provides subscription-based website and online-presence services to small businesses, including a hosted, professionally generated website and related online-presence deliverables (which may include a Google Business Profile optimization deliverable depending on your plan). Specific features depend on the plan you select. We may add, modify, or remove features over time.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to enter into these Terms on behalf of your business. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use.

3. Billing, Subscription, and Cancellation

Month-to-month, no contract. Subscriptions are billed monthly in advance on a recurring basis. There is no long-term commitment.
Authorization. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method the applicable recurring fee until you cancel.
Cancel anytime. You may cancel at any time through the customer portal or by emailing [email protected]. Cancellation stops future renewals.
Effect of cancellation. Cancellation takes effect at the end of the current paid billing period. Unless required by law, fees already paid are non-refundable, and we do not provide prorated refunds for partial periods. Upon cancellation, your hosted website and related Services may be deactivated.
Price changes. We may change pricing on a going-forward basis with notice; changes apply to your next billing cycle.
Failed payments. If a payment fails, we may suspend or terminate the Services until payment is resolved.
Taxes. Fees are exclusive of applicable taxes, which you are responsible for.

4. Customer Content and License

You retain ownership of the content and business information you provide ("Customer Content"). You grant RIGSITE a non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify (for formatting/optimization), and use Customer Content solely to provide and improve the Services. You represent that you have the rights to the Customer Content you provide and that it does not infringe any third-party rights or violate any law.

The Services, including our software, generated templates, designs, and other materials we provide (excluding Customer Content), are owned by Skyware LLC and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use them for your business during your subscription.

5. Acceptable Use

You agree not to use the Services to:

violate any law or regulation, or infringe any third party's rights;
post or transmit content that is unlawful, fraudulent, defamatory, obscene, or harmful;
send spam or unsolicited messages, or violate telemarketing, anti-spam, or messaging laws (including the TCPA, CAN-SPAM, and CTIA/carrier rules);
distribute malware or attempt to disrupt, probe, or gain unauthorized access to the Services or related systems;
misrepresent your identity or your business; or
resell or provide the Services to third parties except as expressly permitted.

We may suspend or terminate accounts that violate this Section.

6. SMS Messaging Terms

If you opt in to RIGSITE text messages, the following terms apply, in addition to our Privacy Policy:

Program. RIGSITE sends recurring, automated transactional and service alerts to your mobile number, including new-lead alerts, appointment confirmations/reminders, and monthly report notices. We do not send marketing or promotional text blasts.
Consent is not a condition of purchase. Providing consent to receive text messages is not required to purchase or use any RIGSITE product or service.
Frequency. Message frequency varies based on your account activity.
Rates. Message and data rates may apply, depending on your carrier and plan.
Opt out (STOP). Reply STOP at any time to cancel. You will receive a one-time confirmation and no further messages from that program unless you opt in again.
Help (HELP). Reply HELP at any time, or email [email protected], for assistance.
Carrier disclaimer. Carriers are not liable for delayed or undelivered messages.

For details on how we handle mobile opt-in data, see Section 4 of our Privacy Policy. We do not share mobile opt-in/consent data with third parties for their marketing or promotional purposes.

7. Third-Party Services

The Services rely on third-party providers (for example, payment, hosting, email, and SMS providers). Your use of those features may be subject to the third party's terms. We are not responsible for third-party services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THEY WILL GENERATE ANY PARTICULAR LEVEL OF LEADS, TRAFFIC, RANKING, OR BUSINESS RESULTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIGSITE AND SKYWARE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Skyware LLC and RIGSITE from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Services, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services and cancel at any time (Section 3). We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services unlawfully, or for any other reason with reasonable notice. Sections that by their nature should survive termination (including Sections 4, 8, 9, 10, 12) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Utah County, Utah, and you consent to that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and post the updated Terms at rigsite.skyware.dev/terms. Material changes will be communicated as required. Your continued use of the Services after an update constitutes acceptance.
